I have installed them together on the same Win2K machine and never had a problem. The VS.NET Component update will install MDAC 2.7 and Microsoft Installer. However, if I were you, I would make a backup with Ghost or something like that before you install on a production machine.

To upgrade from one version of VS.NET to another you have to uninstall VS.NET and the .NET runtime before you install the new version. But I have gone from Beta1 to Beta2 to RC1 to Release1 without any problem.
