We just recently created a web service on a Windows 2003 Server. We downloaded SOAP 3.0 and installed it (from here: http://www.microsoft.com/downloads/details.aspx?FamilyId=C943C0DD-CEEC-4088-9753-86F052EC8450&displaylang=en) then built the webservice on top of that.

It's ran great ever since.
