I'd recommend you go buy and read a copy of 'Web & Software Development: A Legal Guide (3rd edition)' by Stephen Fishman. You'll get a good overview of copyright and other legal issues as they pertain to software development, as well as several boilerplate contracts you can adapt to your particular needs. Even if you go on to hire your own attorney (always a good idea IHMO), reading this book will give you a good foundation for talking to him or her.
