are both PCs on the same LAN (i.e. behind the same firwall)?

If not you may need to take Passive FTP into account by passing INTERNET_FLAG_PASSIVE to InternetConnect.

n.b. you can detect the local IE setting for Passive FTP in the registry at HKEY_CURRENT_USER\Software\Microsoft\Ftp\Use PASV
