From Excel Menu:
Select whole sheet:
Format->Cells->Protection, UnCheck Locked
Then Select only cells you want to be locked
Format->Cells->Protection, Check Locked
Tools->Protection->Protect Sheet, Check Select Locked Cells and Select UnLocked Cells and set a password if you want.
