Panel is a container. It is heavier and if you move stuff inside the panel you change the form's hierarchy and such. And of course you have somewhat limited abilities in terms of making it transparent or changing the border style. I often like to add a group header to my shapes, which I can not integrate into a panel. That sort of stuff...

But yes, it is usable as a border.
