No se si será un método muy ortodoxo, pero yo usaria algo como esto:

SELECT 1 &&Tabla de Portatil
SCAN
	MiLlave = Portatil.Llave && Un folio, por ejemplo
	SCATTER TO MEMVAR
	SELECT 2 && Tabla del Servidor
	SEEK MiLlave && busca el folio
	IF .NOT. FOUND()
		APPEND FROM ARRAY MEMVAR
	ELSE
	    *** Tu código para comparar y reemplazara valores
	ENDIF
ENDSCAN
