TotalCommander has file compare, directory compare (even folder compare ;), FTP, file viewer (unrestricted by assumed file type, it just guesses the format well - but you can always switch to plain text, hex, Unicode and/or UTF-8, whichever gives the best results for the part you're currently looking at), command line, MRU lists for pretty much anything, directory hotlist, customizable menus and toolbars (translated into many languages) and it's just $35 and the install still fits on one floppy - Ghisler seems to be the other guy (apart from Gibson) who does it all in assembler ;).

And for the directory compare, you can filter on equal, not equal, left newer, right newer. Works pretty much instantaneously.
