I don't see what MT.EXE has to do with it.
Here's a piece of manifest buit with VS 2008
<file name="mscomct2.ocx" asmv2:size="656200">
    <hash xmlns="urn:schemas-microsoft-com:asm.v2">
      <dsig:Transforms>
        <dsig:Transform Algorithm="urn:schemas-microsoft-com:HashTransforms.Identity" />
      </dsig:Transforms>
      <dsig:DigestMethod Algorithm="http://www.w3.org/2000/09/xmldsig#sha1" />
      <dsig:DigestValue>fr7e0IwIS39kya1PaczsF/XhbFQ=</dsig:DigestValue>
    </hash>
    <typelib tlbid="{86cf1d34-0c5f-11d2-a9fc-0000f8754da1}" version="2.0" helpdir="c:\WINDOWS\\HELP\cmctl298.chm" resourceid="0" flags="CONTROL,HASDISKIMAGE" />

  </file>
>I am certainly getting nearer to the solution. If some great forum-er could use the "MT.exe" to process the mscomct2.ocx and dump the result here, one would be most welcom. I dream VFP-ers could say "bye bye" to regsvr32 :)
