Yes, you can install on top of it. The version that I am using (VM Workstation 6) can be installed on XP and Vista.

As an example I have 4 virtaul PCs setup:
1. XP with VS2005
2. XP with VS2008
3. Vista with VS2005
4. Windows 7 with VS2008
