We got it fixed.... there was another copy of the project on the C: drive (the one we were working on was on the G: drive)... and the project on G: was looking at C: for the base class in question.
We renamed the project on C: and then reopened the project on G: and opened the class and it was now pointing to G: as it should.
The class was now inherited properly.
