I appears to me that this is somewhat irrelevant, if you want to keep working for the guy. It appears that you do, so it doesn't really matter who owns the code. After all, he's not threatening to sue you; he's just saying he won't use you anymore.

However, it might be worth calling his bluff. If you've developed a lot of code for him (and presumably done a good job), he would be a fool to cut you off and have someone else come in to maintain it. He needs you more than you need him.
