That's usually not a problem. The other way around - a project that is a higher version than your startup project - is a problem as you can't add a higher version reference to a lower version project.

If at all possible through I'd recommend updating the 3.5 project to 4.x. It'll make things more consistent and remove some references that are not required in later versions.
