Not just RTF to HTML (FrontPage does this automatically). RTF to HTML Help.
The difference is a wizard that will look at all those footnotes, you know the $#K+ ones, and convert those into table of contents and index entries. One to automatically make hhc and hhk files.
HTML Help is more than just HTML. This is a brand new concept(11/96). Even the MS Help Workshop program is just in beta 1.0
HTML Help uses the hhctrl active-x object to create help or other type of documents with several useful functions including
interactive table of contents
interactive index (which with compressed html will have full text search finds)
splash screens
jump popups
and more.
