I have seen this a couple of times on miscellaneous forms of mine as well and have never had any references that weren't released. I just noticed it the other day in my accouting app. I have noticed though ever since 3.0 the occassional click on the X and it depresses and does not close and you must click on it again.

Make sure that there are no references to your form as an object.
