That's generally correct; the maxiumum number of files in the root actually varies according to the cluster size, but the idea is 100% right - the root of a FAT partition's drive has a fixed upper limit, while subdirectories can have an unlimited number of entries.

There are consequences to having a very large number of files in a single directory; the time to open a file increases dramatically as the number of entries in the directory increases.
