In the US, well in most of the US, it is real easy to setup a small
consulting firm. Buy your business license, oh, sorry, "occupational tax", and get a tax ID if reselling and collecting
sales tax.

For organization, in the US, the partnership is a good start
provided you know/trust your partner. Incorporation, depending on revenues, can help to offset some of the "self
employment" taxes, in the US. We filed our incorporation papers nearly 4 weeks ago, and are just waiting for the
confirmation now.

In the US, you put up that wall of incorporation the minute you
think/feel that you have enough money in either your own assets or the companies, that you can't afford to lose either,
should a serious liability occur. It really is a tough call to make. It took us over a year to make the decision, or rather, reach
the point that we knew it was ok.

Yes, we have considered it an international market. We
currently export memory to the Czech Repubic regularly. Took some playing with the FEDS to get permission and all.

What changes do you propose in the handling of intellectual
property? The problem with the production of software for a foreign market are many. First, many of our databases are
encoded, particullarly the medical ones. All of that encryption would need to be removed, should we decide to export to any
country other than Canada. Secondly, and I'll post another on copyrights....
