Upgrade the Win95 box to Win98SE, or the NT box to Win2K, and then use ICS (InterNet COnnection Sharing) to make the connection visible. Whichever machine hosts ICS will become a DHCP server for the LAN as well.

I've used both methods to share a cable modem connection, and given that some of the cable modem software, particularly the @Home software, messes with the registry and tries to turn an NT Server into an NT workstation, ICS is better than the approach of installing Proxy Server on a NT Server. ICS is not as secure, but it's far easier to setup and maintain.
