IMO one of the best shareware directory and file comparison utilities is Directory Toolkit from Funduc Software (www.funduc.com). I use it all the time. The author has published several other fine utilties--notably Search and Replace--and has provided regular updates for his products.

In the stand-alone category there is a freebie file comparison utility called Visual Diff from Starbase Corp. You can download it from softseek.zdnet.com/Programming/File_Comparison/D_10462_index.html. It does a nice job but that's all it does and I'm not sure there's any support or updates for it.
