I don't think it's a W2K problem. First of all, the initial BIOS memory test isn't very precise, so it's absolutely possible, that it states memory as OK that will not work afterwards. Are you sure the DIM's are really compatible? Same timing parameters, same latency times and so on?

There is a lot of trash on the memory market today and the problem is, you can't check those new modules yourself much other than by using them and checking the result. And even this will not help you in a case of a only randomly appearing timing problem, that may be caused by voltage fluctuations on the motherboard. These chips may work fine until the processor is consuming a lot of power at the same time that a disk drive starts spinning for instance.

I don't work with W2K. I use still NT here. So I can't say much about the memory check that W2K makes, but I think it will be at least as good as it's root and NT is very critical in this things. <g>

What you can actually do is the following:

1. Take the original DIM out and use the newly bought instead.
If this works well, at least the RAM itself is OK and there should be no errors on it.

2. Check the BIOS settings of the RAM. Switch from auto to manual and use
slower acces times and more latency, may be this helps. That may even help, when
the second DIM got problems while doing the methode 1

3. Go to http://www.heise.de/ct/ftp/ctspd.shtml To get a program that let you check the
Parameters of your DIM. (It's german though, but I don't know an english version of such a program <g>)

4. Best you could do is make a deal with your RAM dealer and exchange your 2 DIM's against one with 128MB.
That's what I'd try to do first. Saves you a lot of troubles, even If you have to pay some money for it.
