Do you have 98SE? That's one thing you should probably do, if not. Beyond, that, a couple other ideas:

Do you have all the Power-Save stuff disabled for testing? And another thing you can try: rename the (C:\Windows\) "Profiles" directory and then do a restart (it will create a new one). Sometimes this gets corrupted a little and causes bootup/shutdown delays or hangs.
