Note -- you have received a lot suggestions to get a good lawyer. This is definitely good advice. What is also good advice is to work out a draft yourself that covers as much as you can think of before you go to the lawyer. Think of this as having a spec before you hire a programmer. Your lawyer will do a better job for you, at a lower cost if she knows what you want to accomplish.
