I'm no Windows expert but I think you've got a severe memory limitation here. I'm surprised Windows 2000 Server runs at all in 128MB - the "recommended minimum" for Server & Advanced Server is 256MB, and as always more is better. See

FWIW I am running Windows 2000 Server on a machine with 512MB RAM and its performance is excellent.
BTW this is almost surely the reason your shutdown is slow, too (per your other thread).
