Unlike former Win9x versions, ME is not based on the DOS subsystem for startup, and as a result, it does not use the FILES= setting in CONFIG.SYS. Instead, use MSCONFIG to edit your setup; under the section for WIN.INI, in the [386Enh] section, create an entry that reads:

PerVMFiles=xxx

where xxx is the maximum files per VDM to allow open; it can be a number between 20 and 224; a value larger or smaller is ignored, and 224 is equivalent to a FILES= setting of 255 under Win95 or Win98.
