Randy,
>Thanks for the suggestion Wayne; eventhough, I will really hate forking over 3 or 4 hundred dollars to a lawyer. I guess it is tax deductable though.
A small price to pay for a good night's sleep (much smaller than having that lawyer defend you in the lawsuit). Remember all those fears you just told us about? :-)
One of the worst mistakes you can make at this point is to treat the part-time arrangement casually by going without a contract, so your original question was right on target.
I highly recommend that you go to Hentzenwerke's site and pre-order the Software Developer's Guide, due for publication very soon. It looks like the first 18 chapters are already available for download in an ebook for those who order now. Those chapters contain essential info for you, and will help you and your lawyer come up with an appropriate contract for you.
By the way, once you come up with a suitable standard contract, you might scare away your new client, or they might insist on changes to it. Go carefully at that point and run any changes back past your lawyer again. I know it sounds like a lot of effort, but it takes only one serious client conflict to convince you that it's important (kinda like backups).
