The down side is you will have to install Client32 if you need to run NWAdmin for Netware Administration. I have an old laptop with Win98 and Client32 where I do that stuff on. I don't like to crap-up my nice new Dell Inspiron 8100 laptop with dual hardrives, a CD-RW, CD-DVD and port replicator [docking station].
