The IE Administration Kit (IEAK) available at
http://www.microsoft.com/windows/ieak/default.asp is exactly what you want. Gives you full control over what you distribute and how it is installed. It comes with an excellent wizard; with a high speed Internet connection, from the time you sign up on-line to having a redistributable build on your system can be less than an hour. Available for both IE 5.5 SP2 and IE6.
