I hope this is what you meant for the DIV :

Note that IMO the Scrollable DIV won't lead to a suitable solution, because you'd have two scrollbars unavoidably. But, since you will be working with frames (will you ?) maybe you can work it out after all.
Oh, will work only in IE I think.

BTW, think of IFRAME too; it might be a better solution.

I don't know what you mean by "Layer"...
