Upgrading for the sake of upgrading is not really necessary. If you are attempting to solve a particular problem, sure. You say the upgrade will be seamless - have you ever *really* had this experience? If your users "do not want to go into any changes at this time", I would guess that they just recently went through some bad experience with an upgrade, finally got all the kinks ironed out, and want to just work without interruptions.
If that's the case, do you blame them? Maybe you should just lay low ;-)
