Yes, it is considered an 'upgrade.' Keep in mind that your network shares must be re-setup at the server and all workstations and all of the workstations should login to the windows 2000 server from that point on. You will need to setup the users of course and reassign rights. Also, you should switch to active directory when you upgrade to Windows 2000 server for better security in controlling access to the server.
