I am not sure that management of your company will accept outsourcing from individual. May be they will feel more comfortable if you offer them contract with company. Company is legal entity and they can force court - Russian or some other else to force it to execute contract.
2.They can work with standard outsourcing contract, which I suppose your company use. May be you will have some problems with invoices, money transfers.
Your management will think that could appear problems with ownership of written code and will like to protect in some way.
2. Neither you nor your manager, company should make contract, because they should to pay.
