About a year ago I helped another developer rescue a project that another firm outsourced to him.

You don't really need an exclusivity agreement as you're being hired to complete specific work.

If you want, you can go the fixed-price route, but I would advice strongly against it as you have no access to all the details inherent to the work you're doing and what part it plays in the bigger picture.

Either way, you must do your best to get AS MUCH INFORMATION AS POSSIBLE UP FRONT. If possible, get an exact specification of what you need to deliver in writing so there are no misunderstandings and no one comes back to you a month later saying that you didn't do what you were supposed to do.

One thing that may help you and increase your value at the same time is to learn as much as possible about the whole project - that way you can provide valuable input and not just be a coding drone. If done well, you will probably get repeat work from this firm.

Also, find out what protocols are in place regarding communication with this firm's client (the user of the end-product). You don't want to step on anyone's toes. Some companies are very strict about it and you want to avoid "situations" at all costs because it will make your client (the other firm) look bad in the client's eyes.

In a nutshell, don't go with a fixed-price unless you have all the information you would normally require to do this. There has to be a certain amount of time (which is NOT fixed) devoted for you to learn the intricacies of what you're about to embark in.
