Thanks for the timely reply to my quandry. I tried several of your suggestions and found that it is possible that some HP related software might be causing the dial-up window to come up. Using MSCONFIG I unchecked the RUN=HPFSCHED line and rebooted. The annoying window didn't come up. Yet, the jury is still out. I won't be convinced until I see no evidence of the window for several days. It is that odd.
