I had the same problem and called Microsoft. After running some of their programs to test what was going on with my system they told me that some WIN2k SP4 hotfix had a conflict. They sent me a private version of their SOAP installation kit and it installed properly. They told me that once the problem is reported and fixed for several other users they will post a KB entry with this fix. In the meantime if you are still having this problem I would call microsoft. It seems that for problems like these, they don't even ask you for the serial #, so they don't deduct it from your calls allowed.
