Currently the only significant difference is that C# can handle unsafe code and a few extra base types. If you don't want to use unsafe code then ultimately it becomes and issue of what language you feel more comfortable developing in as it all boils down to the same thing that can be shared throughout the CLR and other languages.

You should also look at what's coming in Whidbey for specific compilers as this may make a difference in what you want to adopt long term?
