You don't say why you're still using FAT32 so one can't say whether you should convert. You also don't say whether you've taken the recommended steps for running VS.NET on FAT32 partitions.

You already did a Google search, right? And searched the MSDN Library, right? Google: "site:msdn.microsoft.com fat32 .net" and the first hit is http://msdn.microsoft.com/library/default.asp?url=/library/en-us/vsintro7/html/vxtbsVisualStudioNETSoftwareRequirements.asp

Does that help at all, or have you already been there, done that?
