If I recall correctly, I think that the projects in VS 2002 and VS 2003 were not compatible. Is that what your problem is? Trying to open up a 2002 project?

I'm not sure about the Windows Component Update ... I would've thought that the VS 2003 install would have used the correct one, but it's been so long since I've installed it, I don't quite remember.
