What were the reasons back then ? (Both sides, insofar as you remember the arguments)

Do they want source code for safety against your accidents or ability to re-sell (would include copyrights) ?
Ask for specifics so to be sure get the correct price <g>

Also think whethter there is something in the code you would like to re-use in other projects -
when I work in source included scenarios (most of the time) I have a clause in the contract
giving me re-use rights to any codes not tied directly to the customers business
consider something similar <g>.
