For them, I allowed them to use my libraries at no charge (about 10% of the code) and I charged them less than I would have if I included source.

For me.... Job security.

They already have exclusive resale on the assemblies. They are merging with another firm who wants to be able to review it.

I can probably give them the source code and still retain copyright.
