Impossible to give an answer without knowing what error you got back from it; the odds are that either some shared component used by the .OCX is missing, or has to be registered properly before your .OCX gets registered. The error message gives some clue about what happened, and while it probably won't identify the missing components, it'll at least confirm what caused the registration attempt to fail.
