You could get Win98 Second Edition upgrade, which has a built-in proxy server. Install it on the Win95 machine, install network card, drivers, and TCP/IP, then go to Control Panel, Windows Setup and install Internet Connection Sharing. That will run a wizard to set up the main dial-out computer, which will have the cabele modem connection, and will create a client configuration disk for the other computer.
You just need to check if the "other" computer can be NT. I just did one of these with two Win95 machines and it works just fine. The client computer does NOT have to be Win98SE.
