...I'm about to enter into an agreement with a company to allow them to be the exclusive reseller of an application I wrote and sell myself. Does anyone out there have any suggestions for what I should have in the agreement or what I should not have in a reseller agreement? Perhaps a copy of an agreement that I could use? ...

Read some of the recents threads on Intellectual Property (IP) and get a lawyer to ensure that your ownership rights are understood by all. The reseller I used for three years decided to de-compile my EXE's and sell them as his own. While I am suing and should win easily, it is still a drain on time and money, something most of us would rather not waste.

Having said all that, getting a good reseller and motivating them by ensuring they can make a good bit of money is still an attractive option.
