First, it might help you if you can actually confirm that moving to W2K or XP will actually solve your problem.
Second, an NT 4.0 boot partition does not have to be FAT. When you choose NTFS during install, it starts out as FAT and gets converted on one of the reboots.
Third, you can install an upgrade on a clean drive, just like Mark said...
