First, I haven't used this, I never have bugs < snicker duck > so I can't comment on how good it is. I have been reading most of the articles on the www.joelonsoftware.com site (the author) and he seems pretty knowledgable about writing code.

IAC, its fogBUGZ at http://www.fogcreek.com/FogBUGZ/index.html it looks like it meets all your requirements except #3, has a 90 day guarentee, and on-line 30 day demo and only costs $2000 for a site license, and comes with source code. And, if you buy it tommorrow you can get 25%.
