Have you looked at PVCS tracker. I believe it meats most of your needs. Although the work flow is not 100% automated, you would have to assign to the next person, and tracker will email a notice to them.

As far as integrating with MS Project, I don't think so, they have their own Project software too. Tracker also integrates with PVCS Version Manager source control.

The best part about it is that it is almost 100% configurable as far as what fields you track, who can see what, how the info is displayed, etc. It is written in Java so the client runs on many platforms, and there is also an I-Net interface avaiable if you want Intranet/Web access.

It is $650 per devloper and the i-net is $499 per developer. I am not sure if you have to pay both to use i-net, we don't use the i-net interface.
