I didn't know the answer off the top of my head, so I hunted around for some old projects to test it out on. I found something interesting ... when I double-clicked on an old .sln file, I got no prompting for converting stuff and VS came up anyway. But as soon as I closed VS, I got a prompt about saving the .csproj file (meaning that changes had occurred, attempted conversion?) ... but if instead of clicking on the .sln file, if I instead clicked on one of the .csproj files, I was immediately prompted for the conversion. Now, I *am* running the 2003 Beta still, so maybe the real deal works correctly. Anywho, that's the way it's working on my machine ...

JB::Also -- I imagine that, for example, the .SLN file extension is registered on the system to point to VS2003, so one could ostensibly double-click a VS2002 .SLN file and receive the conversion prompt.
