Hi Jack,
The very first thing i think is to upgrade your service Pack of W2k.
Possible Cause could be Virus or Different Windows Installer Version or Service Pack Missing:
Once you do the needful what mentioned above.
Try renaming MSIEXEC.EXE as MSIEXEC.OLD and retry the installation.
I have faced the same set of problem and resolved through the above mentioned steps.
