What little I know about this is mostly based on Texas law, which stipulates that to properly qualify as a contractor, a person must provide their own tools, place to work, and have the freedom to set their own schedule. I believe the IRS also has similar requirements. They came down pretty hard on a company that my ex-wife use to work for, which was trying to duck out of payroll taxes by calling their salespeople "contractors".
